These Additional Terms for Notewise for Schools & Businesses (“Business Terms”) supplement the main Notewise Terms & Conditions ("General Terms") found at https://www.notewise.dev/terms-and-conditions. By creating or participating in a Notewise for Schools & Businesses account (“Business Account”), you agree to both the General Terms and these Business Terms. If there is any conflict between these Business Terms and the General Terms, these Business Terms will prevail regarding your use of the Business Account and associated licenses. All capitalized terms used here but not defined have the meanings given in the General Terms.
1. Eligibility and Account Representation
- 1.1. Organization Eligibility: Business Accounts are for verified educational institutions, non-profits, and commercial businesses ("Organizations") with a unique email domain not associated with common public email providers. Notewise reserves the right to verify eligibility.
- 1.2. Authorized Representative: You represent and warrant that you are authorized to act on behalf of the Organization associated with the email domain used for sign-up and have the authority to bind the Organization to the General Terms and these Business Terms. You agree to provide accurate onboarding information.
2. Business Account Administration
- 2.1. Administrators: The Organization shall designate one or more administrators ("Administrators") via the Admin Portal provided by Notewise. Administrators must be associated with the Organization's verified domain.
- 2.2. Responsibilities: Administrators are responsible for managing the Business Account, including license purchases, configuration of available settings (such as user quotas or access policies, where applicable), and management of other Administrators. The Organization is responsible for all actions taken under its Administrator accounts.
3. Business Licenses
- 3.1. License Scope & Purchase: Licenses purchased under the Business Account ("Business Licenses") grant End Users access to features designated by Notewise as part of the "Notewise Unlimited" tier for use on compatible devices specified by Notewise (currently Android and iOS). Licenses are a one-time, non-recurring purchase per license slot, subject to pricing and potential volume discounts displayed at the time of purchase. An initial minimum license purchase is required to activate the Business Account, the quantity of which will be specified during the purchase process. Additional licenses may be purchased subsequently via the Admin Portal, subject to then-current terms and minimums. Business Licenses do not include separate subscription services (e.g., Notewise Cloud) unless explicitly stated otherwise.
- 3.2. End Users & Domain: Individuals using an email address associated with the Organization's verified email domain ("End Users") are eligible to utilize Business Licenses provided by the Organization.
- 3.3. License Slot Activation & Consumption: A Business License slot is considered consumed when an End User first activates the licensed features on a unique compatible device using their organizational email address. Activation is subject to the total number of available purchased slots in the Organization's pool and any quotas or policies configured by Administrators.
- 3.4. User Quotas: Each End User has a quota determining the maximum number of devices they can have concurrently activated using the Organization's Business Licenses. Administrators manage default and individual User Quotas via the Admin Portal. An End User cannot activate a new device if doing so would exceed their User Quota.
- 3.5. Device Deactivation by User: An End User may be able to deactivate the license on one of their currently active devices (via mechanisms provided within the Notewise application) to free up a space within their personal quota allowance, allowing them to activate a new device using that same slot, provided the Organization still possesses the underlying purchased license slot. This allows users to manage their own active devices within their permitted quota.
- 3.6. License Slot Permanence & No Revocation: Once a Business License slot has been consumed by an End User's initial device activation (as per 3.3), that specific activation link is permanent for the lifetime of the license slot purchase. Administrators cannot manually revoke or reassign a consumed license slot from one End User/device activation to another End User or device. The slot remains associated with the initial activation event in Notewise's systems for tracking purposes, even if the user subsequently deactivates the device (as per 3.5) to activate a different one. The total number of consumed slots reflects the peak number of unique device activations performed against the Organization's purchased pool.
- 3.7. Availability upon User Departure: License slots associated with devices activated by an End User who leaves the Organization do not become available for other users.
4. Data Privacy
- 4.1. Note Content: As stated in the Notewise Privacy Policy (https://www.notewise.dev/privacy-policy), Notewise does not access End User note content. Such data remains stored locally on the End User's device unless they utilize other optional Notewise features or third-party services.
- 4.2. Administrative Data: The Organization acknowledges that Notewise processes necessary administrative data related to the Business Account (including Organization details, Administrator information, license usage metadata, payment history) as described in the Privacy Policy (https://www.notewise.dev/privacy-policy). Administrators can view certain license usage metadata but cannot access End User note content.
5. Term and Termination
- The term and termination conditions for the Business Account are governed by the General Terms, supplemented by the understanding that termination may result in the deactivation of Business Licenses for End Users. No refunds are provided for purchased licenses upon termination.
6. Relationship to General Terms
- These Business Terms incorporate and are subject to the Notewise General Terms & Conditions. All provisions of the General Terms, including disclaimers of warranties, limitations of liability, indemnification, governing law, and prohibited uses, apply fully to the use of the Business Account and Business Licenses, unless explicitly modified herein.
By checking the agreement box during onboarding, you, as the authorized representative, confirm agreement on behalf of your Organization to both the Notewise General Terms & Conditions and these Additional Terms for Notewise for Schools & Businesses.
